Terms of use

1. Agreement

These Terms form a binding agreement between you and the operator of Soyla ("we", "us"). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

Our Privacy policy describes how we handle personal information and is incorporated by reference.

2. The Service

Soyla provides AI-assisted marketing tools, including brand profiling, content ideation, drafting, review workflows, weekly planning, and reminders by text and email. Soyla does not post to social networks on your behalf; you post approved content yourself. Features may change, and we may add, modify, or discontinue functionality with reasonable notice when practicable.

The Service may rely on third-party models, platforms, and infrastructure. Availability of external networks (for example, social platforms) is outside our control.

3. Accounts

You must provide accurate account information and keep credentials and access to your email secure. You are responsible for activity under your account. Notify us promptly of unauthorized use at hello@getsoyla.com.

You must be at least 16 years old, or the minimum age of digital consent in your jurisdiction, to use the Service.

4. Subscriptions and billing

Paid plans are billed in advance on a monthly or annual basis as selected at checkout. Prices are listed in the product and may change for future periods; we will not change the price of a prepaid term without notice consistent with applicable law.

• Fees are processed by Stripe and are generally non-refundable except where required by law or expressly stated in writing.
• You authorize us (and our payment processor) to charge your payment method for the plan and any applicable taxes.
• You may cancel at period end from billing settings. Access continues until the end of the paid term unless otherwise stated.
• Failure to pay may result in suspension or termination of paid features.

5. Acceptable use

You agree not to:

• Use the Service for unlawful, harmful, deceptive, or abusive content or campaigns
• Infringe intellectual property, privacy, or publicity rights of others
• Attempt to probe, disrupt, or reverse engineer the Service except as allowed by law
• Circumvent rate limits, access controls, or billing mechanisms
• Upload malware or content that interferes with other users or systems
• Misrepresent affiliation with Soyla or use the Service to spam

We may suspend or terminate accounts that violate these Terms or pose risk to the Service or others.

6. Your content and licenses

You retain ownership of content you submit to the Service ("Customer Content"), including brand materials, edits, and published posts you create.

You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and improve the Service for you. You represent that you have the rights needed to submit Customer Content and to post it on your own channels.

Outputs generated for you may be used in your marketing subject to these Terms and third-party platform rules. AI outputs can be inaccurate or non-unique; you are responsible for reviewing content before publishing.

7. Our intellectual property

The Service, including software, design, trademarks, and documentation, is owned by us or our licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you.

8. Third-party services

Integrations (payment, social networks, email delivery, AI providers) are subject to those providers' terms and privacy policies. We are not responsible for third-party services we do not control.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR BUSINESS RESULT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

11. Indemnity

You will defend and indemnify us against claims, damages, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time and may delete your account where the product provides that control. We may suspend or terminate access for breach, risk, non-payment, or if we discontinue the Service. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive termination.

13. Changes to these Terms

We may update these Terms by posting a revised version and updating the "Last updated" date. Continued use after the effective date constitutes acceptance, except where applicable law requires additional notice or consent for material changes.

14. Governing law

These Terms are governed by the laws applicable in the jurisdiction where the Service operator is established, without regard to conflict of law rules, except where mandatory consumer protections in your country of residence apply. Courts in that jurisdiction will have exclusive venue, subject to those mandatory rights.
